Film Submission Terms & Conditions

1. Acceptance of Terms

By submitting any film, screenplay, trailer, pitch deck, treatment, concept, visual material, audio material, written material, or other content (“Submission”) to DARKODE, you acknowledge and agree to be legally bound by these Film Submission Terms & Conditions.
 

If you do not agree to these terms, you must not submit materials to DARKODE.

 

2. Voluntary Submission

 

All submissions to DARKODE are made voluntarily and at the sole risk of the submitting party (“Submitter”).

Submission of materials does not create:

​

  • any partnership;

  • agency relationship;

  • employment relationship;

  • joint venture;

  • fiduciary duty;

  • confidentiality obligation;

  • representation agreement;

  • distribution agreement;

  • financing agreement;

  • acquisition obligation;

  • or any expectation of compensation or further communication.

  • ​

No agreement shall exist unless expressly confirmed in a separate written contract signed by authorized representatives of DARKODE.

3. Ownership & Rights

 

The Submitter represents and warrants that:

​

  • they possess all necessary legal rights, permissions, licenses, and authority to submit the materials;

  • the Submission does not knowingly infringe upon the intellectual property, privacy, contractual, or proprietary rights of any third party;

  • all information provided is accurate and lawful.

  • ​

The Submitter retains ownership of their submitted materials unless otherwise agreed in writing.

​

By submitting materials, the Submitter grants DARKODE the limited right to review, internally share, evaluate, archive, store, and discuss the Submission for consideration purposes.

4. No Confidentiality

 

Unless expressly agreed otherwise in writing prior to submission, all submissions shall be considered non-confidential and non-proprietary.

​

DARKODE shall have no obligation to:

​

  • maintain confidentiality;

  • return submitted materials;

  • compensate the Submitter;

  • respond to submissions;

  • explain decisions;

  • destroy archived materials.

  • ​

Submitters are advised not to submit sensitive, confidential, or proprietary information unless properly protected independently.

​

5. Similarities & Independent Development

 

The Submitter acknowledges that DARKODE, its affiliates, collaborators, contractors, partners, and representatives may currently be developing, acquiring, financing, producing, distributing, or considering projects that may contain themes, concepts, characters, ideas, story elements, titles, formats, visual styles, marketing strategies, or other similarities to the Submission.

The Submitter agrees that no claim may be made against DARKODE arising from perceived or actual similarities between the Submission and any existing or future projects, regardless of whether such similarities are intentional, coincidental, derived independently, or otherwise.

6. Limitation of Liability

To the fullest extent permitted by applicable law, DARKODE, its owners, affiliates, employees, contractors, collaborators, successors, partners, and representatives shall not be held liable for:

​

  • loss of materials;

  • unauthorized access;

  • cyber incidents;

  • leaks;

  • intellectual property disputes;

  • theft claims;

  • idea overlap;

  • reputational damages;

  • financial loss;

  • loss of opportunity;

  • emotional distress;

  • indirect or consequential damages;

  • third-party misconduct;

  • technical failures;

  • data breaches;

  • unauthorized distribution or sharing by external parties;

  • or any damages arising directly or indirectly from the submission process.

 

All submissions are made entirely at the Submitter’s own risk.

7. No Obligation to Review or Respond

 

DARKODE reserves the unrestricted right to:

  • reject submissions;

  • ignore submissions;

  • archive submissions;

  • remove submissions;

  • cease communications;

  • or decline consideration for any reason or no reason at all.

 

DARKODE is under no obligation to provide feedback, explanations, updates, meetings, negotiations, or responses.

8. Third-Party Services

 

Submissions may be transmitted, stored, processed, or reviewed using third-party platforms, cloud services, email providers, submission systems, or communication tools.

​

DARKODE shall not be responsible for the practices, security, actions, failures, or unauthorized access associated with third-party systems or providers.

​

​

9. Indemnification

 

The Submitter agrees to indemnify, defend, and hold harmless DARKODE and its affiliates, representatives, contractors, partners, and associates from and against any claims, liabilities, damages, losses, legal costs, disputes, or expenses arising from:

​

  • submitted materials;

  • alleged infringement;

  • breach of these Terms;

  • disputes relating to ownership or rights;

  • unlawful content;

  • or third-party claims connected to the Submission.

     

10. Governing Law

 

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

​

Any disputes arising in connection with submissions to DARKODE shall be subject to the exclusive jurisdiction of the courts of England and Wales.

​

​

11. Modifications

 

DARKODE reserves the right to modify, update, or replace these Film Submission Terms & Conditions at any time without prior notice.

​

Continued use of the submission process constitutes acceptance of the latest version of these Terms.
